Raising an Impact Fund for Venezuela, we are raising $300,000,000 to invest in State Own Companies in a Pre-IPO status and be first in the market! The Venezuela Impact Fund we are launching, we would like to present for your review a revised draft of the Investor Deck. Inversiones CrecePymes C.A. (ICP), listed investment company in the Caracas Stock Exchange (under ICP.B) (https://crecepymes.com) is an active member of the Global Impact Investment Network (GIIN). The Global Impact Investing Network (https://thegiin.org/) is the global champion and leading network for impact investing, dedicated to increasing its scale and effectiveness around the world. ICP is also member of The Venezuelan Council of Investment Promotion (CONAPRI https://conapri.org/). CONAPRI was established in 1990, as a Private Non-Profit Council to find a common joint public-private work agenda aimed at strengthening the investment climate in Venezuela. CONAPRI Board Members include large national and multinational corporations. ICP is raising $300 million to launch The Venezuelan Impact Fund, to mainly invest in state-owned companies in the country, following an impact investment (ESG) criteria. The Fund will invest in selected State-Owned companies. The investment strategy is in: A.- Pre-IPO stage to provide CEO, to provide management and CAPEX/OPEX and audited financial information before going to the stock market; B.- the Fund can also invest in state-owned companies that go directly to the stock market if they comply with our ESG/ ROI metrics; C.- Strategic alliances with state-owned companies not listed in the stock market is also part of the investment strategy of the Fund; and D.- The Fund sees opportunities to invest in expropriated companies returned to original owners. Social inclusiveness metrics are presented in their investment criteria. In May 2022, the Venezuelan Government officially announced they will issue equity and list (5% to 10%) of public companies through the Caracas Stock Exchange in an effort to capitalize and democratize the public sector. (http://www.mppef.gob.ve/empresas-publicas-ofertaran-acciones-para-la-inversion-nacional-e-internacional/). 400 + State-Owned companies and their subsidiaries are not operating today and are open to ESG investments in the Mining, Agriculture and Fishing, Food, Energy, Tourism and Technology, Telecom and Education sectors. Also, there are more than 100 expropriated companies that the government wants to return to original owners who don’t have the capital to revamp them. ICP has already developed a significant deal flow of state-owned companies across several industries in need of capitalShifts in Geopolitical status due to Russian-Ukrainian conflict, and the USA re-evaluation of the Venezuelan sanctions could mean that our Fund Initiative could be in good timing and well positioned to bring back Venezuela and its many natural resources the global economy again for the benefit of the people of the country. (https://www.reuters.com/world/us/exclusive-washington-pins-easing-venezuela-sanctions-direct-oil-supply-us-2022-03-09/)(May 17 2022) We are attaching a draft of The Investor Pitch we prepared for you to review to see how this initiative fits or can be adjusted to enhance your Institution investment strategy. We invite you to work together to develop the Fund with your feedback. Venezuela is one of the top ten countries with highest value of natural resources and thus has a unique opportunity to turnaround its economy following the ESG Impact metrics to foster economic development and environmental protection. We genuinely believe ICP and Impact Investors will uncover a potential for political and economic harmony, as Venezuelans will learn new patterns of investing promoting financial returns, growth and true social inclusiveness. Please review the attached PowerPoint Presentation for discussion. We are interested in learning your thoughts on how to advance on this vital initiative to help Venezuela move into its recovery. Best,
